Do You Need a Business License to Sell Online in the US?

Most US online sellers need a local business license, a sales tax permit or both. Learn which licenses apply, common seller scenarios and how to check your state.

In the US, you usually do need some form of business license or registration to sell online, even if you only sell from home or through a marketplace. What you need depends on your state, county and city, what you sell, and whether you collect sales tax. Many small online sellers need at least a local business license and a state sales tax permit, while some products also require federal or specialized permits.

There is no single national license for ecommerce, which is why the question confuses so many new sellers. This guide explains the main types of license, the common seller scenarios, and the steps to find out exactly what applies to you. It is general information, not legal advice, so confirm requirements with the agencies that cover your location.

What a business license is

A business license is permission from a government authority to operate a business within its jurisdiction. Depending on where you are, it may be called a general business license, an occupational license, a business tax certificate or simply a permit. Licenses exist to register businesses for tax purposes, to enforce zoning and safety rules, and to protect consumers in regulated trades.

The US Small Business Administration explains that licenses and permits come from federal, state and local agencies, and that requirements vary by your activity and location. Selling online does not exempt you from that system. Your business still has a physical base, usually your home, and that is where most local rules apply.

General business license

Many cities and counties require any business operating within their limits to hold a general license, often renewed every year. Some areas have exemptions for very small or occasional sellers, while others license every business regardless of size. Your city or county website will say which applies.

Home occupation permit

If you run your store from home, local zoning rules may require a home occupation permit. These rules typically cover customer visits, signage, deliveries and storage. A store that ships small parcels rarely has trouble qualifying, but you still need to apply where the permit is required.

Sales tax permit

Most states with a sales tax require sellers of taxable goods to register for a sales tax permit before making sales. This is often the most important registration for online sellers. Since the Supreme Court's 2018 decision in South Dakota v. Wayfair, states can require remote sellers to collect sales tax once they pass an economic threshold in that state, even without a physical presence there. Thresholds and rules differ by state, so check each state where you have significant sales.

Many states also have marketplace facilitator laws, under which large marketplaces collect and remit sales tax on sales made through their platform. That can reduce your obligations for marketplace sales, but it does not usually cover sales through your own website, and you may still need to register in your home state.

Federal licenses

Most online stores never need a federal license. They apply only when a federal agency regulates your activity, such as selling alcohol, firearms or certain agricultural products. If your products fall into a regulated category, check the relevant agency's requirements before you list anything.

Do you need a business license to sell online? Common scenarios

Selling occasionally from home

Selling personal items now and then, such as clearing out a closet, is generally not treated as running a business. Once you buy or make items to sell regularly for profit, most jurisdictions treat it as a business, and licensing and tax rules start to apply.

Sole proprietor using your own name

A sole proprietor trading under their own legal name does not need to form a company, but may still need a local business license and a sales tax permit. If you trade under a brand name instead, most states or counties require you to register it as a DBA (doing business as).

Selling on marketplaces

Selling through a marketplace such as Amazon, Etsy or eBay does not replace your own licensing. The marketplace may collect sales tax on your behalf in many states, but your local business license, any home occupation permit and any product specific permits are still your responsibility. Platforms that only host your store, such as Shopify or WooCommerce, do not handle licensing or registration for you.

Growing into an established business

As sales grow, most sellers form an LLC or corporation, get an Employer Identification Number from the IRS, open a business bank account and register for sales tax in additional states. At this stage it is worth working with an accountant who handles multi state sales tax.

How to find out what you need

  1. Decide your business structure. Sole proprietorship, LLC or corporation affects which registrations you need.
  2. Check your state. Visit your Secretary of State and state revenue department websites for business registration and sales tax permits.
  3. Check your city and county. Look for general business license and home occupation rules.
  4. Check your products. Food, cosmetics, supplements, alcohol, firearms and children's products often have extra rules.
  5. Review where you sell. Track sales by state so you know when you reach economic nexus thresholds elsewhere.
  6. Apply and keep records. Most applications are online. Note renewal dates, because many licenses expire annually.

Fees and processing times vary widely by jurisdiction and license type, so budget time for applications before you launch rather than after your first sale.

Benefits of getting properly licensed

  • Legal protection. Operating without required licenses can lead to fines, back taxes and orders to stop trading.
  • Access to services. Payment processors, wholesalers and banks often ask for business registration details before they will work with you.
  • Wholesale buying. A sales tax permit is often needed to buy inventory for resale without paying sales tax on it.
  • Trust. Customers, suppliers and partners are more comfortable dealing with a registered business.
  • Room to grow. Larger retail partners and some contracts require proof of licensing.

Common mistakes

  • Assuming online means unregulated. Local and state rules apply to online sellers just as they do to shops.
  • Relying on the marketplace for everything. Marketplace tax collection does not cover your other licenses or your own website sales.
  • Ignoring other states. Growing sales in another state can create a sales tax obligation there.
  • Missing renewals. An expired license can be treated as no license at all.
  • Selling regulated products without checking. Some categories need approvals before the first listing.
